AB Imperial ("AB Imperial", "we", "us") provides subscription access to a vehicle auction data platform, including auction history reports, market valuations, market analytics and portfolio monitoring (the "Service"). The Service is provided to businesses for internal business use only.
Access is granted per subscription plan and begins on the first business day after receipt of payment of the initial invoice, unless otherwise agreed in writing. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Seats may not be shared between individuals.
You may use the Service and its output for your own internal business purposes. You may not: resell, redistribute or publish the data or reports, in whole or in part; scrape or bulk-extract the Service outside the limits of your plan; use the Service to build a competing product; or misrepresent the source of the data. Vehicle history information may be used in consumer-facing transactions only as permitted by your plan and applicable law, including the Fair Credit Reporting Act where relevant; the Service is not a consumer reporting agency product.
The Service compiles records from third-party sources. We apply normalization and quality controls, but we do not guarantee that any record is complete, current or error-free. Valuations are estimates derived from comparable sales; they are not appraisals within the meaning of USPAP and not a guarantee of any transaction price. Business decisions made using the Service remain your responsibility.
Subscription fees are stated on the Pricing page or in your order form and are invoiced in advance. Usage beyond plan allowances is billed at the plan's per-unit rate. Fees are non-refundable except as required by law or expressly agreed in writing. We may suspend access for invoices more than 15 days past due after written notice.
Monthly subscriptions renew month to month until cancelled with effect at the end of the current billing period. Annual subscriptions renew for successive annual terms unless cancelled at least 30 days before renewal. Either party may terminate for material breach that remains uncured 30 days after written notice.
The Service, its compilation, normalization and presentation are the property of AB Imperial. Your subscription grants a limited, non-exclusive, non-transferable right to use the Service during the term. You retain all rights in data you upload (for example, portfolio files); we process it only to provide the Service.
Each party agrees to keep the other's non-public business information confidential and to use it only for the purposes of the subscription. This obligation survives termination.
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability arising out of the Service is limited to the fees you paid in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental or consequential damages, including lost profits.
We may update these Terms with 30 days' notice by email or by posting on this page. Continued use after the effective date constitutes acceptance. If a change is material and adverse to you, you may cancel before it takes effect.
